Rock Holdings is a firm registered in the Isle of Man and controlled by Leave.EU founder Arron Banks.
The Electoral Commission's ongoing investigation of Leave.EU funds was referred to the National Crime Agency.
Mr Banks denies any wrongdoing.
But BBC Newsnight has found that Rock Holdings has no official registered address on the Isle of Man and that it is therefore "in default", meaning it is not compliant with company law on the island.

Despite his insistence against any wrongdoing, the National Crime Agency is investigating Leave.EU's co-founder Arron Banks and his campaign's activity during the 2016 EU referendum.
Mr Banks and another senior campaign figure Liz Bilney were referred to the Agency by the Electoral Commission. Mr Banks sent the BBC a number of documents which, he said, demonstrated there was no wrongdoing.
Newsnight's John Sweeney examines them.
In a statement to Newsnight, Mr Banks said that the bank statements "clearly show no large amounts of money came into Rock Holdings.... There are no other bank accounts for Rock Holdings".
He added that allegations that Russian money was the source of the campaign funding are false.
